These Terms of Service ("Terms") govern your use of sgbp.tech, our free resources, and any engagement with SGBP for web design and development services. They are governed by the laws of Singapore.
1. Definitions
- SGBP. SGBP brand.
- You / Client. The individual or organisation using the website or engaging SGBP.
- Services. Web design and development services scoped in a separate engagement letter or statement of work.
2. Use of the website
You may use sgbp.tech for lawful, non-commercial information purposes. You may not scrape, mirror, or republish substantial portions without written permission.
3. Free resources
Templates, calculators, and guides we publish are provided as-is for general informational purposes. They do not constitute legal, tax, accounting, or engineering advice for your specific situation.
4. Engagements
Any paid Services are governed by a separate, signed engagement letter or statement of work. In the event of any conflict between these Terms and that document, the engagement letter prevails.
4.1 Scope changes
Material scope changes require a written change order. Time and material work is billed in 15-minute increments against the agreed hourly rate.
4.2 Deliverables & ownership
On full payment, you receive a clean handover of the deliverables: source code, design files, content models, and credentials. SGBP retains the right to reuse generic, non-confidential patterns and infrastructure that are not specific to your business.
4.3 Third-party services
Hosting, plugins, fonts, and SaaS tools used in your build are licensed by you directly from the vendor. SGBP makes no warranty for third-party services.
5. Care plans
Care plans are monthly retainers governed by a separate Care Plan agreement. Either party may cancel with 30 days' written notice. Unused improvement hours roll over for one month only.
6. Payment terms
- Currency: Singapore dollars (SGD) unless otherwise agreed.
- Method: Razorpay (cards, UPI, international bank transfer). Razorpay invoices are denominated in SGD and converted at the prevailing rate at time of payment.
- Default invoice terms: 14 days, net.
- Late payments accrue interest at 1% per month from the due date.
- If a future Singapore PTE registration becomes available, we may offer additional rails (HitPay / PayNow / Stripe). Existing engagements will be notified before any change.
7. Confidentiality
Both parties keep each other's confidential information confidential. We sign NDAs on request before kickoff. We may publicly disclose that you are a client (with a link to your site) unless you opt out in writing.
8. Warranties
We warrant that Services are performed with reasonable skill and care. The website and any free resources are provided "as is" without warranties of any kind, express or implied, including merchantability and fitness for a particular purpose, to the maximum extent permitted by Singapore law.
9. Limitation of liability
To the maximum extent permitted by law, SGBP's aggregate liability arising out of these Terms or any engagement is limited to the fees paid by the Client to SGBP in the 12 months immediately preceding the event giving rise to the claim. SGBP is not liable for indirect, consequential, or incidental losses, including loss of profits or goodwill.
10. Indemnity
You indemnify SGBP against claims arising from your content, your end-users, your use of the deliverables in violation of law, or your breach of these Terms.
11. Force majeure
Neither party is liable for delays caused by events outside reasonable control (natural disasters, war, cyberattacks on third-party infrastructure, regulatory changes).
12. Termination
Either party may terminate an engagement for material breach not cured within 14 days of written notice. SGBP may pause work for non-payment after 14 days past due.
13. Governing law & disputes
Governed by the laws of Singapore. Disputes are resolved by mediation first (Singapore Mediation Centre), then by arbitration in Singapore under SIAC rules.
14. Changes to these Terms
We may revise these Terms. Material changes are flagged at the top with a new "Last reviewed" date. Continued use of the website after changes constitutes acceptance.
